- This is a donation site! Investing in a project idea means you are investing in the world’s community and our ability to display humanity to those who need it most, but it is not a financial investment.
- Please note that Roia does not offer regulated investments through the Skills Under Siege platform. Therefore, it is not authorised or regulated by any Financial Conduct Authority. As with all donation-based crowdfunding, there is no recourse to either any Financial Ombudsman Service or any Financial Services Compensation Scheme.
www.skillsundersiege.org (“Skills Under Siege” or “the site”) is owned by ROIA organisation (“we”, “us”, “ours” as appropriate). Skills Under Siege is a crowdfunding and community engagement platform, strictly for unaffiliated and for non-violent citizens living in besieged areas of Syria. Skills Under Siege provides a direct link to the people suffering through years of war and turmoil to those around the globe who want to offer their support putting innovative ideas into action.
We may make changes to these Terms at any time by placing a notification with the modified Terms and/or by posting a copy of them on the site. Any changes will apply to you seven days after the date of our notification or the date on which we post the modified terms on the site, whichever is earlier. If you continue to use the site after that period has expired, it means that you accept any such changes. You should ensure that you refresh your browser each time you visit the site to review the latest version of these Terms.
In these Terms we refer to a “Project Idea” as the project for which funding is sought, a “Project Page” as the page on our site setting out information on a Project, a “Supporter” as a person contributing funds to a Project via the site, and a “Project Owner” as the principal person or persons seeking to raise funds on the site.
“Pledges” are the funds pledged by Supporters to fund a Project, and the “Campaign Period” is the period for which Pledges can be accepted on the site in relation to a particular Project. The “First Target” is the minimum amount of funds sought by a Project Owner and below which threshold no Pledges are collected. The Project Owner may also specify a higher, “Stretch Target”.
When the money amount of Pledges meets or exceeds the First Target within the Campaign Period, the Project Owner has run a “Successful Campaign”.
Skills Under Siege has an all-or-nothing funding model, which means that if a case does not reach its First Target, the Project Owner does not receive any funds and Supporters’ cards are not charged.
This section is of importance to those who wish to host a project. All usage of the term “you” in this section refers to actual or potential Project Owners.
How It Works?
Project pages are curated by Skills Under Siege. The information that populates these pages is supplied to us by you, the Project Owner. As a Project Owner you represent, warrant and undertake on a continuous basis to Skills Under Siege, Supporters and any users of the site that:
- You are aged 18 years of or over;
- The information you supply to Skills Under Siege is an accurate summary of the issues in the Project and the purposes for which the funds raised will be used;
- You will use all funds raised in a Successful Campaign to pay directly and solely for fees and/or costs associated with the Project as described on the Project Page;
- You will inform Skills Under Siege of and return any unused funds to the site in accordance with these Terms;
- You will comply with all applicable laws and regulations in relation to your Project and your use of funds raised.
- You will be responsible for paying all fees and collecting and remitting all applicable taxes connected with your use of the site, the Project, the Pledges you receive.
- No fraudulent, criminal, violent or otherwise improper uses will be made of Pledges contributed via your Project Page.
- You are unaffiliated to any improper groups or organisations including, but not limited to, armed groups and criminal gangs.
Skills Under Siege will undertake a stringent vetting process to maximise accuracy and security of the Projects and Project Owners.
We make the best efforts to verify the identity of a Project Owner and the identity of the organisation or entity related to a Project. Should we request further information from you in this regard, you agree to provide it promptly.
If we suspect any fraudulent, criminal or improper activity on the site, in addition to terminating your access to or use of the site in accordance with these Terms, we may report or disclose information about you and/or your use of the site to relevant parties, at our sole discretion and without notice to you.
The First Target is "all or nothing". If your Project does not reach the First Target by the end of the Campaign Period, any Pledges made by Supporters to the Project will be automatically cancelled and all pledges returned to the Supporter.
Project Owners can also set a second, Stretch Target. The Stretch Target is flexible, meaning that all Pledges made after the First Target has been reached are collected on a rolling basis regardless of whether the Project reaches the Stretch Target by the end of the Campaign Period.
Project Owners acknowledge that Supporters may fail to fulfil payment of Pledges and that such failure is entirely outside our control. Roia accepts no liability or responsibility for the non-payment of Pledges by Sponsors.
Pledges for successful campaigns will be held in escrow by Roia which will then proceed to transfer raised funds to the Project Owner. If for any reason circumstances prohibit funds from being transferred to the Project Owner, Pledges will be returned to Supporters.
It is free to create a member account. We will raise a campaign for your project, if you do not run a Successful Campaign, we do not collect any fees, Supporters’ Pledges will be cancelled automatically, and cards will not be charged.
If the campaign is successful, Project Owners are charged a transaction fee of 10% of all Pledges made via the site, with this fee being used to cover the expenses of the platform.
Subject to applicable laws, Roia is hereby authorised to deduct its fees together with any applicable taxes from the Pledges collected in Successful Campaigns.
In the event any of these fees change, we will update the Terms.
Timing of payment and beneficial ownership
The timing of transfer of funds raised in a Successful Campaign (less the fees set out in this section and any applicable taxes) to the Recipient may take several working days from the end of the Campaign Period, depending on how quickly our payment processor releases the funds. Project Owners should take this into account when planning the allocation of funds raised following a Successful Campaign.
We may hold the funds (less the fees set out in this section) during this period. For the avoidance of doubt, during such period (and until the money is received by the Recipient), we hold the funds net of fees on trust for the Supporters. You agree that we shall assume no duties of trusteeship other than the duty to retain and apply any such funds in accordance with these terms.
While supporters’ pledges are applied in the first instance to the project owner’s project, where there are unused funds there is a risk that pledges may be applied to a project that a supporter does not support.
References in this section to “you” are to a Supporter.
You acknowledge and agree that you do not have, and your contribution (whether financial or otherwise) does not entitle you to have, any rights in or to any Project, including any ownership, control or rights to advise on the conduct or strategy of a Project.
If the Project for which you have made a Pledge does not reach its First Target before the end of the Campaign Period, your Pledge will be cancelled automatically, and your card will not be charged.
If the Project for which you have made a Pledge does reach its First Target before the end of the Campaign Period, you may no longer cancel your Pledge. This does not affect your statutory or legal rights.
By making a Pledge, you represent, warrant and undertake on a continuous basis to Roia that the payment of any funds used for such Pledge will not result in a breach of applicable law.
All of the content on Skills Under Siege (including text, databases, graphics, videos and software) is owned by (and all copyright, trademark and other intellectual property rights in that content shall at all times remained vested in) us or our licensors and is protected by international copyright and other intellectual property laws.
We make our content available through our site for your personal, non-commercial use. You may view our site’s pages and content online and print a copy of these Terms for your records. You may not otherwise reproduce, modify, copy or distribute or use any of the content on our site without our prior written consent.
We understand the sensitivity of your Project Idea, so we won’t publish any information about your Project Idea without your acceptance.
There may be circumstances where we are obliged by law to disclose information about you. In the event we are ordered by a court or tribunal to disclose information about Project Owners, Supporters or potential Supporters, we may be obliged to provide information you have given us on the site. We will make reasonable efforts to challenge any request or order that in our view is without legal merit. By using the site, you agree that we may be obliged to make such a disclosure.
Roia reserves the right, at our sole discretion, to suspend or permanently deny your access to all or part of the site and associated services, immediately and without notice, where you breach these Terms including where there is any actual or suspected fraudulent, criminal or improper use of the site or associated services. Upon such termination, suspension or denial of access to the site, we may decide to refuse to transfer funds raised in a Successful Campaign to the Recipient where there has been a breach of these Terms and/or where there is any actual or suspected fraudulent, criminal or improper use of the site or associated services. In such an instance, and subject to any relevant investigation we may undertake in relation to your Project, we may authorise a refund to Supporters of your Project.
Disclaimer and Limitation of Liability
You agree that your use of the site and associated services are provided on an ‘as is’ and ‘as available’ basis, and that your use of the site and associated services is at your sole risk. Skills Under Siege explicitly excludes any other conditions, guarantees, warranties or terms in relation to the site or its associated services, to the extent permissible by law.
To the fullest extent permissible by law, in no event will Roia, its directors, advisors, employees, partners, suppliers or content providers be liable for any damages of any kind, including but not limited to any damages:
- Resulting from your access to, use of, or inability to access or use the site;
- For any lost profits, data loss, or cost of procurement for substitute goods or services; or
- For any conduct of, or content of, any user of the site.
Any posting of comments by third parties or users of the site on the site or its associated services do not imply or constitute an endorsement by us. For the avoidance of doubt, each user of the site acts on his/her own behalf at all time and does not act as our agent in any way.
We do not make any representations or warranties as to the truth, accuracy, quality or completeness of information that appears on the site.
We cannot guarantee and shall not be liable to you for any loss or damage arising in relation to the performance or reliability of the online payment processing services.
Nothing on the site is, or should be construed as, legal advice.
The decision as to whether to support a Project is that of a user of the site alone. Roia accepts no liability for the reliance of a user of the site on any content contained in the site. Efforts on behalf of Roia to ensure the accuracy of project representation by Project Owners is in no way a guarantee. Roia cannot guarantee that any Project Owners or Supporters have provided information that is accurate, complete or true. Consequently, we make no recommendation or representations in relation to any Project Owners, Supporters, Project Pages or Projects.
Roia also disclaims any liability resulting from any loss or damage suffered by any person as a result of any direct or indirect use of any of the information or content available on the site.
You agree only to use Skills Under Siege in accordance with these Terms. You agree that you will indemnify us, our directors and employees, for any damages, losses, costs and expenses, including reasonable legal fees we incur that arise out of any breach by you of these Terms or for any liability we incur as a result of the use of the site by you and/or any other person that uses your account with your permission or as a result of your negligence.
By using Skills Under Siege, you agree that you will not harass or mislead or act unlawfully toward any person that you have contacted via the site or disclose or use any contact information that they may provide to you without their consent and you will cease to contact anyone that you have contacted via the site immediately if they request you to do so.
Interest on Pledges. You agree that any interest on Pledges or other funds held by us shall accrue to our benefit and neither Project Owners, Supporters nor Recipients shall be entitled to such interest.
Severability. If any part of these Terms is found to be unenforceable as a matter of law, all other parts of these Terms will not be affected and shall remain in force.
Entire Agreement. These Terms govern our relationship with you and represent our entire agreement with you.
Events or circumstances beyond our reasonable control. We may be prevented or delayed from complying with our obligations under these Terms by anything you (or anyone acting on your behalf) does or fails to do or due to events or circumstances beyond our reasonable control. In such circumstances including, but not limited to, fire, flood and other acts of God, strikes, trade disputes, lock outs, restrictions of imports or exports, riot, accident, disruption to energy supplies, civil commotion, acts of terrorism or war. In such circumstances, our inability or delay in performing our obligations will not be deemed to be in breach of contract.
Assignment. You may not assign, sub-license or otherwise transfer any of your rights under these Terms.
Waiver. If you breach these Terms and we choose to ignore your breach, we will still be entitled to use our rights and remedies at a later date or in any other situation where you breach the Terms.
Changes to the service. We will make every effort to ensure that the site and other services are available continuously, but we reserve the right to modify, suspend or discontinue all or any part at any time with or without notice. Unless specifically exempted, any new features, services or software applications introduced shall be subject to these Terms.
Exclusion of third party rights. These Terms do not create any right enforceable by any person who is not a party to them.
Disputes between users. We do not become involved in disputes between users, or between users and any third party relating to the use of the site.
Governing law and jurisdiction. These Terms and any contractual or non-contractual dispute arising out of or in connection with your use of the site or the associated services are governed by the law.
